LEGAL INFORMATION

These Contractual Terms of Use govern your access to and of the Oroshiuri platform, which includes our website, any sub-domains, mobile site, mobile and voice-assistant applications, APIs and widgets (together, Platform).
By browsing, accessing or using any part of the Platform you agree to be bound by:

  • these Terms of Use; and
  • the non-excludable consumer guarantees set out in the Competition and Consumer Act 2010 (Cth) (Australian Consumer Law – ACL).

Notice of future changes – We may amend these Terms of Use from time to time. We will provide at least 14 days’ prior notice of any material change by email and/or an in-product pop-up. If you continue using the Platform after the notice period, the updated terms apply. If you do not agree with the changes you may stop using the Platform without penalty.

 

INFORMATION ON OUR PLATFORM

Information on the Platform (including any Oroshiuri publications) is general in nature and should not be relied on as legal, financial or real-estate advice.
Nothing in these terms limits or excludes any right or remedy you have under the ACL.

 

Your statutory consumer guarantees

If our goods or services fail to meet the ACL guarantees, you are entitled to the following remedies free of charge:

Major problem – a reasonable consumer would not have acquired the service, it is unsafe, or it differs significantly from its description.

You may choose a refund, a replacement (where possible) or compensation for any reasonably foreseeable loss or damage.

Minor problem – the failure can be fixed within a reasonable time.

We will repair, replace or re-supply the service within a reasonable time. If we cannot do so, you may choose a refund.

 

RESTRICTIONS ON USE OF THE PLATFORM

In accessing or using the Platform you agree that you will not:

  1. a) use any automated device, software or process to access, retrieve, scrape or index the Platform or its content;
    b) interfere with the proper working of the Platform;
    c) place unreasonable or disproportionate traffic demands on our infrastructure;
    d) use or index content or data on the Platform for the purpose of:
     constructing or populating a searchable database of properties;
    ii. building a database of property information; or
    iii. competing with us in any manner we have not authorised;
    e) transmit spam, chain letters, contests, junk email, surveys or other mass messages;
    f) use the Platform or its content in a manner that is not reasonable and/or not for its intended purpose;
    g) violate the rights of any person, including copyright, trade secret, privacy or other intellectual-property rights;
    h) pose as any person or entity, or solicit money, passwords or personal information from any person;
    i) act in violation of these Terms of Use or any applicable law;
    j) reproduce, republish, retransmit, modify, adapt, distribute, translate, create derivative works from, publicly display, sell, trade or exploit any part of the Platform or its content except with our written permission; or
    k) transmit or attempt to transmit any computer viruses, worms, defects, Trojan horses or other destructive code.

We may use any lawful means (including technological barriers) to prevent unauthorised access or misuse and may report your conduct to relevant authorities.

 

COPYRIGHT AND INTELLECTUAL PROPERTY

Unless otherwise indicated, all material on and accessible from the Platform is © 2025 Oroshiuri Systems Pty Ltd.
You may download or print content only for your own private, non-commercial use. Any other reproduction, adaptation or distribution requires our prior written consent. Where permitted, you must acknowledge the copyright owner.

 

THIRD-PARTY LINKS AND ADVERTISING

The Platform may include advertisements, hyperlinks or pointers to websites operated by third parties. Those external sites are not under our control. We do not endorse, and are not responsible for, their content, accuracy or privacy practices. You access third-party sites entirely at your own risk.

 

USER CONTRIBUTIONS

“Contributions” means any data, text, images, audio, video or other material you upload, post, share or store on the Platform.

  • Ownership – You retain all ownership rights in your Contributions.
  • Licence to us – You grant Oroshiuri a worldwide, non-exclusive, royalty-free, perpetual, transferable and irrevocable licence to use, reproduce, modify, adapt, distribute, publish, create derivative works from and publicly display your Contributions in any medium for the purpose of operating and promoting the Platform.
  • Licence to other users – You grant each user of the Platform a non-exclusive licence to access and use your Contributions as permitted by these terms.
  • Prohibited content – You must not post Contributions that are illegal, misleading, defamatory, obscene, infringing, offensive or otherwise inappropriate. We may remove or disable access to any Contribution at any time without notice.
  • Warranties – You warrant that you own or have the necessary rights to post your Contributions and that doing so does not infringe any third-party rights.

 

THIRD-PARTY CONTENT

Content provided by parties other than Oroshiuri is Third-Party Content. We do not monitor or endorse Third-Party Content and are not responsible for it. You rely on such content at your own risk.

 

PLATFORM PROVIDERS

Our mobile apps and voice-assistant products incorporate terms required by platform providers:

  • Apple (iOS) – Usage subject to App Store Terms of Service. Apple is not responsible for support or liability.
  • Android – Includes software from the Android Open Source Project (Apache Licence 2.0).
  • Amazon Alexa – Use of the Oroshiuri Skill is subject to Amazon policies.
  • Google Maps – Use subject to Google Maps Terms of Service and Privacy Policy.

 

EDITORIAL CONTENT

Any editorial articles are general information only and do not consider your personal objectives, financial situation or needs. Obtain professional advice before acting on such content.

 

FURTHER WARRANTIES

You represent and warrant that:

  1. a) your use of the Platform will comply with these terms and our directions;
    b) you will keep your username and password secure and accept responsibility for unauthorised use except where caused by our negligence; and
    c) you acknowledge that our liability is subject to the ACL guarantees and the limitation set out below.

 

INDEMNITY

You agree to indemnify and hold Oroshiuri and its affiliates (including officers, agents and employees) harmless from any loss, liability, claim or demand (including reasonable legal costs) arising from your breach of these terms or your unlawful, negligent or reckless use of the Platform, except to the extent we caused the loss.

 

POLICY FOR LINKING TO OUR WEBSITE

You may link to our content only with our consent and on these conditions:

  1. Do not present the link as your own or someone else’s content.
  2. Do not redirect the link to other content.
  3. Do not frame our content to appear as your own.
  4. Do not link as part of a site that aggregates property listings or competes with us.

We may require you to remove any link at our discretion.

 

LIMITATION OF LIABILITY

Except for liability that cannot be excluded or limited under the ACL or other applicable law, Oroshiuri Systems Pty Ltd and its related entities:

  • exclude all liability for indirect, consequential, exemplary, incidental, special or punitive damages (including lost profits, data or goodwill); and
  • limit their aggregate liability to you for any cause of action to the greater of AUD $100 or the total fees you paid us in the preceding 12 months.

This limitation does not apply to personal injury, death, wilful misconduct or any guarantee that the ACL says cannot be limited.

 

DISPUTE RESOLUTION

  1. Contact us first – Email support@oroshiuri.com.au and describe the issue.
  2. Mediation – If we cannot resolve the issue within 30 days, either party may refer the dispute to mediation in Brisbane, Queensland, under the Resolution Institute Mediation Rules.
  3. Court proceedings – If mediation fails, either party may commence proceedings in the courts of Queensland.

 

JURISDICTION

These Terms of Use, the Privacy Policy and any dispute arising from your use of the Platform are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of the courts of that State.

 

PRIVACY

We collect, use and disclose personal information in accordance with our Privacy Policy, which complies with the 13 Australian Privacy Principles. The policy is always available via the site footer and within our apps. Key points:

  • We collect only what we need to deliver and improve our services.
  • We keep your data secure and let you access or correct it on request.
  • We do not sell your personal information.

Membership Terms and Conditions

These Membership Terms and Conditions (“Terms”) outline the agreement between you (“Member”) and Oroshiuri Systems Pty Ltd (“Oroshiuri Systems”) regarding your membership in our multi-sided platform. By signing up and becoming a Member, you acknowledge and agree to the following:

1. Multi-Sided Platform: Oroshiuri Systems operates a multi-sided platform that offers various subscriber products. As a Member, you may have access to these products via our platform.

2. No Financial Advice: Oroshiuri Systems does not provide any form of financial advice. Our platform serves as a space for individual learning about subscriber products, enabling Members to make informed decisions independently.

3. Licensing Compliance: All subscribers featured on our platform are fully licensed under Australian corporations law. Any real estate offerings provided through our platform are covered by appropriate licensing under the Land Sales Act.

4. Confidentiality: Any communications that occur within the membership area are considered confidential. Members are expected to respect the privacy of other members and the information shared within the platform.

5. Intellectual Property: All intellectual property within the membership area, including but not limited to content, resources, and materials, remains the sole property of Oroshiuri Systems Pty Ltd. Members are granted access for personal use and learning purposes only.

By becoming a Member of Oroshiuri Systems, you agree to abide by these Terms. Failure to comply with these Terms may result in the termination of your membership.
